Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Alternae LLC, a Colorado Limited Liability Company (LLC) located at 9905 Bayou Ridge Trail Num 4597, Parker, CO 80134, United States ("Alternae", "we", "us"). They govern your access to and use of the Alternae marketplace and any related services (the "Platform").

By creating an account, placing an order, or otherwise using the Platform, you accept these Terms. If you do not agree, please do not use Alternae.

Alternae LLC operates the Alternae marketplace and is the seller of record and Merchant of Record for every transaction concluded on it. Independent makers and sellers ("Sellers") list goods through the Platform as independent third-party suppliers.

Alternae LLC is the seller of record and Merchant of Record for each purchase made on the Platform. This means that when you place an order, your purchase contract is formed with Alternae LLC only. We are the counterparty to your transaction: we present the offer, set the final price, accept your order, collect payment, charge and remit applicable taxes, and are responsible to you for the order and for issuing refunds.

Sellers are independent suppliers. They produce and ship the items and supply them to Alternae LLC for sale through the Platform, but they are not a party to your purchase contract and you have no separate contractual relationship with a Seller. All of your rights and obligations as a buyer are with Alternae LLC.

Because we are the seller of record, Alternae LLC stands behind every order: questions, returns, refunds, and disputes are handled by us under our Fulfillment Policy, not negotiated directly with individual Sellers.

You must be at least 18 years old, or have the consent of a parent or legal guardian, to use the Platform. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Tell us promptly if you suspect unauthorized use.

Listings are an invitation to order. A binding contract forms when Alternae LLC accepts your order. The price you pay is the price shown at checkout plus any applicable shipping and taxes, in the currency displayed.

Payments are processed by our payment provider. We do not store full card numbers on our servers. If a charge cannot be completed, your order will not be fulfilled. We may cancel an order and refund you if an item is mispriced, unavailable, or the order appears fraudulent.

Items are produced and shipped by independent Sellers on Alternae LLC's behalf. As seller of record, Alternae LLC remains responsible to you for fulfillment of your order. Estimated processing and delivery times, shipping costs, and tracking are described in our Fulfillment Policy.

Returns, refunds, and cancellations are governed by our Fulfillment Policy, which forms part of these Terms. Alternae LLC processes all refunds. Every order is also covered by Alternae Buyer Protection.

If you open a shop, you act as an independent supplier to Alternae LLC. You authorize Alternae LLC to list and sell your items to buyers as seller of record, and you are responsible for the accuracy of your listings, for holding the right to sell each item, for complying with all applicable laws, and for producing and shipping orders on time.

Alternae LLC charges a commission of 8.9% + $0.40 on the item total of each completed sale; the commission is deducted before payout. Payouts are made through our payment provider and may be held for a short escrow period after a sale before release. You may only list goods you are legally entitled to sell. Prohibited items include counterfeits, recalled or unsafe goods, and anything illegal.

You keep ownership of the photos, text, and other content you upload, and you grant Alternae LLC a worldwide, non-exclusive, royalty-free license to host, display, and use it to operate and promote the Platform. You are responsible for ensuring your content does not infringe anyone's rights or violate any law.

Do not use the Platform to deceive others, to circumvent fees, to infringe intellectual property, to harass other users, or to break the law. We may suspend, restrict, or remove accounts, shops, or listings that violate these Terms or that we reasonably believe pose a risk.

Except for the responsibilities Alternae LLC expressly assumes as seller of record under these Terms and our Fulfillment Policy, the Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Alternae LLC is not liable for indirect, incidental, special, or consequential damages, and our total liability for any claim relating to an order is limited to the amount you paid for that order.

Nothing in these Terms limits any rights you have under mandatory consumer-protection law that cannot be waived.

Sellers agree to indemnify and hold Alternae LLC harmless from claims, losses, and expenses arising out of their listings, their items, their shipping, or their breach of these Terms.

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules. The courts located in Colorado have jurisdiction over any dispute, except where applicable law gives you the right to bring proceedings in your country of residence.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Continuing to use the Platform after an update means you accept the revised Terms.
